These are securities under Howey but probably on a case by case basis require a new S-1 process to register as public services or public investments per jurisdiction. - 2) Utility Tokens - Tokens that are issued on public blockchain networks that represent something of value or an agreement between 2 counterparties. These can be Security Tokens, which are digital S-1 obligations tokenized on the blockchain. They can be Access Tokens which holders get the right to pass a digital gate for entry into another area of functionality, access or entry in the physical world.
